Terms of Service

1. Acceptance of Terms
By accessing or using the Mingle platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Mingle is an online marketplace that connects brands with content creators for sponsored collaborations. The Service enables brands to discover, shortlist, and invite creators, and enables creators to receive invitations, negotiate terms, deliver content, and receive compensation.
3. User Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information up to date.
4. User Roles
Users register as either a Brand or a Creator. Each role carries distinct rights and obligations:
- Brands may post gigs, browse creator profiles, shortlist candidates, and issue invitations.
- Creators may maintain a public portfolio, respond to invitations, apply to gigs, submit deliverables, and receive payments.
5. Marketplace Conduct
You agree not to:
- Misrepresent your identity, qualifications, or audience metrics.
- Engage in fraudulent, deceptive, or misleading practices on the platform.
- Circumvent the platform to arrange off-platform deals after an introduction has been made through Mingle.
- Post content that is unlawful, harmful, defamatory, or infringing.
- Interfere with or disrupt the Service or its infrastructure.
6. Payments and Fees
Mingle may charge service fees on transactions completed through the platform. Fee schedules are disclosed before you commit to a gig. Brands are responsible for funding gigs, and creators receive payment upon deliverable approval minus any applicable platform fees.
7. Intellectual Property
Creators retain ownership of their original content unless otherwise agreed in a gig contract. By submitting deliverables, creators grant the hiring brand a license to use the delivered content as specified in the gig terms.
8. Content and Deliverables
All deliverables must comply with applicable advertising disclosure laws and regulations. Creators are responsible for clearly disclosing sponsored relationships as required by law.
9. Termination
We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may delete your account at any time through the Settings page.
10. Limitation of Liability
Mingle acts as a marketplace and is not a party to agreements between brands and creators. We are not liable for the quality, legality, or delivery of content, nor for disputes between users. The Service is provided "as is" without warranties of any kind.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration.
